Terms and Conditions of Jinji HR Solutions
These Terms and Conditions ("Terms") govern your access to and use of the services provided by Jinji HR Solutions, located at 7-1 Marunouchi 2-chome, Chiyoda-ku, Tokyo, 100-0005, Japan. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

Jinji HR Solutions provides a comprehensive range of human resources consulting services, including but not limited to:

2. Client Obligations
As a client of Jinji HR Solutions, you agree to:
- Provide accurate, complete, and timely information relevant to the services requested.
- Cooperate fully with our team to facilitate the efficient delivery of services.
- Ensure that any materials or information provided to Jinji HR Solutions do not infringe upon the intellectual property rights or privacy of third parties.
- Adhere to payment schedules as agreed upon in the service proposal or invoice.
3. Confidentiality
Jinji HR Solutions understands the sensitive nature of human resources information. We commit to maintaining the confidentiality of all client-specific data and information shared with us during the provision of our services, in accordance with applicable Japanese laws and professional standards. This commitment extends to all employees and agents of Jinji HR Solutions.
Clients also agree to respect the proprietary nature of Jinji HR Solutions' methodologies, tools, and intellectual property.
4. Intellectual Property
All content, materials, methodologies, and specific deliverables developed by Jinji HR Solutions for a client, unless otherwise explicitly agreed upon in writing, remain the intellectual property of Jinji HR Solutions. Clients are granted a non-exclusive, non-transferable license to use these deliverables solely for their internal business purposes related to the engagement.
Any general insights, templates, or aggregated data derived from services that do not contain client-specific confidential information may be used by Jinji HR Solutions for internal development or general marketing purposes, provided client anonymity is maintained.
5. Limitation of Liability
Jinji HR Solutions provides services based on the information provided by the client and current best practices in human resources. While we strive for excellence, we do not guarantee specific outcomes or results that are beyond our direct influence or control.
In no event shall Jinji HR Solutions, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Our total liability for any claim arising out of or relating to the services shall not exceed the amount paid by you for the specific services giving rise to the claim.
6. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof, shall be settled by arbitration in Tokyo, Japan, in accordance with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association. The language to be used in the arbitral proceedings shall be Japanese.
Notwithstanding the foregoing, Jinji HR Solutions reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our copyrights, trademarks, trade secrets, or other intellectual property rights.
7. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the services.
